1. Acceptance of Terms

By accessing or using Intelligent Technician, Inc.’s web application (“Service”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy (available at https://intelligenttechnician.net/privacy-policy), and any additional policies referenced herein. If you do not agree to these Terms in their entirety, you must immediately cease using the Service. Continued use of the Service after any updates constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement, have the legal capacity to enter into this agreement, and are not barred from using the Service under applicable law.

• You are solely responsible for maintaining the confidentiality of your account credentials (e.g., username and password) and for all activities conducted under your account. You must notify us immediately at info@intelligenttechnician.net of any unauthorized use.

4. Intellectual Property

All content, trademarks, service marks, logos, and intellectual property on the Service are the exclusive property of Intelligent Technician, Inc. or its licensors. You may not copy, modify, distribute, reproduce, display, perform, or create derivative works of any intellectual property without prior written consent from Intelligent Technician, Inc. Any unauthorized use constitutes infringement and may result in legal action.

5. Service Availability & Changes

Intelligent Technician, Inc. reserves the right to modify, suspend, or discontinue any part of the Service, including features or availability, at its sole discretion and without prior notice. Intelligent Technician, Inc. shall not be liable for any interruption, suspension, or termination of the Service or for any loss of data or access resulting therefrom.

6. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Intelligent Technician, Inc. does not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities.

7. Limitation of Liability

To the maximum extent permitted by law, Intelligent Technician, Inc., its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. In no event shall Intelligent Technician, Inc.’s total liability exceed the amounts paid by you to Intelligent Technician, Inc. for the Service during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Intelligent Technician, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your infringement of any third-party rights; or (d) any unauthorized access to your account.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

10. Changes to Terms

Intelligent Technician, Inc. may update these Terms at any time. Material changes will be notified via email to the address associated with your account or by posting a prominent notice on the Service at least thirty (30) days prior to the effective date. Non-material changes take effect immediately upon posting. Your continued use of the Service after any change constitutes acceptance of the revised Terms.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and Intelligent Technician, Inc. regarding the Service and supersede all prior agreements or understandings, whether written or oral.

13. Termination

Intelligent Technician, Inc. may terminate or suspend your access to the Service at its discretion, with or without cause and without prior notice. Upon termination, your right to use the Service ceases immediately.
